COACH CASTING CALL

OFFICIAL RULES FOR SUBMISSION

1.  ELIGIBILITY. The Coach Casting Call (the “Casting Call”) is open only to individuals who are at least eighteen (18) years of age at the time of entry and are legal residents of the United States of America (including DC and Puerto Rico), have access to the Internet, have a public Instagram, TikTok, or Twitter account, who are able to travel themselves to New York, NY to appear in a photoshoot and related activities expected to occur on June 29-30, 2022, and who satisfy all other eligibility requirements set forth in these rules or are applied by law. This Casting Call is void in all other jurisdictions, territories, possessions, and where otherwise prohibited by law. Officers, directors and employees of Coach (Tapestry, Inc.), 10 Hudson Yards, New York, NY 10001 (“Coach”), and its parent company, affiliates, subsidiaries, divisions, advertising and promotion agencies, and immediate family members (a parent, spouse, sibling or child, regardless of where they reside) and/or those living in the same household of any of the above, whether or not related, are not eligible to participate in this Casting Call.

2. HOW TO SUBMIT. Coach will accept submissions for the Casting Call beginning on June 21, 2022 when the First Post (as defined below) goes live, until 11:59 pm ET June 26, 2022, by which time all entries must be received (“Casting Call Period”).To enter, post a video to Instagram, TikTok, or Twitter (not longer than thirty seconds (:30) in duration with you and one other person showcasing how you make the most of living in the moment (each a “Video”, and each Video shall be an “Entry”). Include #coachcastingcall and tag @coach on your post. You must also email your Video to castingcall@coach.com. You must submit your Entry by posting and emailing your Video during the Casting Call Period. You may submit one Entry per person. Entries that are unlawful, threatening, harassing, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, sexually explicit, hateful, profane, indecent, racially or ethnically derogatory, false, misleading or otherwise objectionable to Coach, as determined by Coach in its sole and exclusive discretion, shall be deleted and shall not be considered an Entry. All information entered becomes the property of Coach and will not be acknowledged or returned. By entering, you agree that entry information may be shared to the extent required to evaluate your Entry. Coach may engage third party providers and vendors to administer certain aspects of the Casting Call, including, without limitation, the online collection of Entry information. Proof of entering information via any third party application is not considered proof of delivery to or receipt by Coach of such Entry. Any such third parties will provide your personally identifiable information to Coach, who except as set forth herein, will use such information in accordance with its online privacy policy, available at Coach.com. Any such third parties may also use your information for their own independent purposes in accordance with their own independent privacy practices. Coach is not responsible for the collection, storage, or use of your Entry information by any such third parties. Coach is not responsible for the incompatibility of entrant’s hardware, software or browser technology. Failure to comply with these official rules may result in disqualification from the Casting Call. Coach reserves the right to: (i) permanently disqualify any person it believes has intentionally violated these official rules; and (ii) withdraw the online method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Casting Call), and to select participants from among all eligible entries received prior to withdrawal.

3. SELECTION OF PHOTOSHOOT PARTICIPANTS. Coach may select 2 to 3 duos appearing in the Videos that best express how you make the most of living in the moment and who made that expression in the most creative manner. A panel of Coach’s marketing executives will select the duos on or about June 27, 2022. Selected entrants will be offered the opportunity to appear in a Coach brand photoshoot occurring on June 30, 2022 in New York, New York (“Photoshoot”). Confirmed selected entrants must also be available to participate in a fitting scheduled to occur on June 29, 2022 (“Fitting”). The confirmed selected entrants will be contacted with the specific time, location, and other details for the Fitting and Photoshoot at least two (2) days in advance of the Fitting and Photoshoot, and will be notified by direct message via Instagram or otherwise as Coach may determine using the contact information provided at the time of entry.  Each selected individual shall be required to complete and return a separate legal agreement with Coach as a condition of participating and appearing in the Fitting and Photoshoot, which shall include, among other terms, a Release of Liability and Publicity Release (where permitted by law) (collectively, “Agreement”) by the date or within the time frame specified by Coach or an alternate entrant may be selected. All decisions of Coach on all matters relating to this Casting Call, including, without limitation, related to its selection of entrants for potential participation in the Fitting and Photoshoot shall be final and binding. Odds of being selected as a potential participant in the Fitting and Photoshoot depends on the number of eligible Entries received. If a potential Photoshoot participant is not able to be contacted by Coach within twenty-four (24) hours following the date notice or attempted notice is sent, declines, fails to return any required documents, does not complete the verification process within two (2) days, or is otherwise not in compliance with these rules, such participant’s opportunity to participate in the Fitting and Photoshoot may be revoked.

4. VIDEO REQUIREMENTS. Videos must comply with the following requirements: (i) Videos may feature only the entrant and one other person, and the entrant represents and agrees that the entrant (1) has obtained the other person's express consent to appear in the Videos and to convey the rights granted to Coach pursuant to these Official Rules, and upon request will provide Coach with proof of such person's consent, and (2) any other person appearing in the Videos is over the age of eighteen (18); (ii) other than the Coach, its brands and/or logos, Videos may not show, contain, mention, depict, refer or otherwise allude to the name or logo of any retailer, manufacturer, brand, product, store, place of business, person, company, or character in such a way or manner as to imply an affiliation with, or endorsement of, the Coach, its brands, and/or its ambassadors, partners, providers, vendors, or other third parties without limitation; (iii) the Videos must be entrant's own original words/work or entrant must have obtained the necessary permissions to submit the Videos, and to grant Coach the rights set forth in these Official Rules; (iv) the Videos must not have been created professionally; must not have been previously published, released or distributed in any form; must not have won any award; and must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity; (v) the Videos may not contain, mention, refer or otherwise allude to any material that is violent, lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, racially or morally offensive or otherwise contain inappropriate content or objectionable material; (vi) the Videos may not promote alcohol, illegal drugs or tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any political candidate or party (vii) the Videos cannot in any manner defame, misrepresent, contain disparaging remarks or reflect negatively about Coach, its products, or other people, products, or companies, or their products, or in any way reflect negatively upon such parties, or explicitly or implicitly communicate messages or images inconsistent with the positive images and/or goodwill with which Coach wishes to be associated, as determined by Coach in its sole discretion; (viii) the Videos cannot contain any personal identification, such as personal names, email addresses or street addresses, without express permission; (ix) the Videos cannot itself violate or depict the violation of any law; and (x) the Videos must otherwise be in compliance with these Official Rules. Coach reserves the right, in its sole discretion, to disqualify any Videos that Coach believes, in its sole discretion, does not comply with or is in violation of these Official Rules or that otherwise contains prohibited or inappropriate content.

5. GRANT OF RIGHTS. Each entrant for themselves and for each person appearing in the Entry submitted by the entrant irrevocably grants Coach a non-exclusive, non-transferable, royalty-free perpetual license to use and display the Entry for any and all purposes in any and all media channels without limitation, worldwide and without additional compensation, notice or approval from entrant.

6. REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION. Each person who enters this Casting Call represents and warrants as follows: (i) entrant owns, or has obtained any and all necessary rights and permissions required to submit the Videos and grant Coach the rights to use and display the Videos as set forth above; (ii) the Entry does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity, including, but not limited to, rights of privacy and publicity; and (iv) the Entry does not and will not violate any applicable laws, and is not and will not be considered defamatory or libelous. Each entrant hereby agrees to indemnify and hold the Coach and its parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

7. CONDITIONS. Selected participants will only be permitted to participate in the Photoshoot if they fully comply with these Official Rules. All costs and expenses associated with the Photoshoot, including, without limitation, any travel, lodging, or other expenses, (if any and to the extent not expressly stated herein as being awarded, including without limitation all federal, state, and local taxes) are the sole responsibility of the selected participants. Participation in the Fitting and Photoshoot is non-transferable. In the event a selected participant is unable to travel to New York or is otherwise unable to appear in the Fitting and Photoshoot, no alternate opportunity, prize, or remuneration will be awarded. No alternate opportunity, prize, or remuneration of any kind will be given to any participants in the event that either Mr. Juergen Teller or any other person without limitation is unable to attend the Photoshoot and Coach shall have no obligation to reschedule the Photoshoot should Mr. Teller or any other person become unable to attend. Selected participants are required to comply with all additional rules and conditions of participation applicable to the Fitting and Photoshoot, including, without limitation, any rules, regulations, or policies in respect of COVID-19. PARTICIPATION IN THE FITTING AND PHOTOSHOOT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND COACH HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

8. GENERAL RELEASE/FORCE MAJEURE. By entering this Casting Call, each entrant agrees to be bound by all terms of these Official Rules. By entering this Casting Call, each entrant releases, holds harmless, covenants not to sue, and forever discharges Coach, and its respective parent company, affiliates, and subsidiaries, retailers, divisions, advertising and promotion agencies, and all others associated with the development and execution of this Casting Call, and each of their respective directors, officers, employees, agents, shareholders, representatives, successors, and assigns (all such individuals and entities collectively referred to herein as, the “Released Parties”), from, against, and as to any and all third-party claims, actions, damages, losses, liabilities, costs, expenses, injuries or causes of action of any kind that has arisen or may arise from or relate to the Casting Call including without limitation, in connection with (i) the administration of the Casting Call, including without limitation typographical, printing, seeding, human, or other errors relating to or in connection with this Casting Call, the processing of entries, the announcement of any selected participants or any related materials, inaccurate, fraudulent, incomplete, illegible, late, lost, stolen, misdirected, undelivered, incomplete, damaged, or postage due entries or mail, or any delays in delivery or lack of availability and/or (ii) entrant’s participation in this Casting Call, the  Fitting, the Photoshoot, or other Casting Call-related activity, including but not limited to any related travel, and death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Casting Call or any Casting Call-related activity. Except where prohibited or restricted by law, by entering this Casting Call, each entrant agrees for themselves and for any other person appearing in their submitted Video that Coach, and its respective designees may use entrant’s name, image, likeness, address, biographical information, Entry, and/or statements about this Casting Call for advertising and/or publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without compensation, notification, or permission. Coach reserves its right, at its sole discretion, to disqualify any individual who tampers in any way with the any part of the Casting Call and/or who submits a fraudulent entry or an entry not otherwise in accordance with these Official Rules, and to cancel, terminate, modify, or suspend the Casting Call, the Fitting, the Photoshoot, or any other Casting Call-related activity. Coach reserves the right in its sole discretion to disqualify any individual who is found to be acting in violation of these Official Rules; in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Casting Call; or with the intent to annoy, abuse, threaten, or harass any other person. Without limiting the foregoing, in the event Coach is prevented from continuing with the Casting Call as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, epidemic, pandemic, or other national health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared,) or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, public health crisis, or other cause not reasonably within Coach’s control, then Coach shall have the right to modify, suspend, extend or terminate the Casting Call.

9. MISCELLANEOUS. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or any rights and obligations of the entrants and Coach relating to this Casting Call, shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law rules that would cause the application of any other state's laws. By entering this Casting Call, each entrant agrees that any and all disputes, claims, and causes of action arising out of or in any way related to this Casting Call shall be resolved individually, without resort to any form of class action, and exclusively by a court having competent jurisdiction located in Manhattan, New York. Entrants irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction that they may have. Without limiting the scope of any legal release, except where prohibited, by entering this Casting Call, each entrant waives all rights to seek, obtain, or claim any punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses incurred, but in no event attorneys' fees, and each entrant further waives any and all rights to have damages multiplied or otherwise increased. This Casting Call is in no way sponsored, endorsed or administered by, or associated with Instagram, TikTok, or Twitter, or any platform used to transmit or publicize the Casting Call; nor sponsored or administered by Jurgen Teller or any other person appearing in or engaged in connection with the Photoshoot. All questions, comments or complaints regarding the Casting Call must be directed only to Coach. ANY ATTEMPT BY AN INDIVIDUAL TO UNDERMINE THE OPERATION OF THIS CASTING CALL MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, COACH RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
